YOU ALSO CONFIRM THAT YOU ARE AUTHORISED TO MAKE PURCHASES FOR YOURSELF OR ON BEHALF OF YOUR COMPANY OR ORGANISATION INCLUDING BUT NOT LIMITED TO ANY PAYMENTS FOR THIS SERVICE AND ANY ADDITIONAL PRODUCTS OR SERVICE OFFERED THROUGH THE HRMSHUB.COM MARKETPLACE. YOU ARE IN AGREEMENT TO TAKE FULL RESPONSIBILITY FOR ALL PURCHASES SOLICITED BY YOU AND/OR ANY PROPRIETARY OR COPYRIGHTED MATERIALS UPLOADED BY YOU OR YOUR COMPANY OR ORGANISATION.

GENERAL TERMS AND CONDITIONS YOUR ACCOUNT

To become an account holder and utilise the HRMSHub.com cloud based Human Resources Management System Service and HRMSHub.com Marketplace Service (where applicable) (hereinafter referred to as "HRMSHub.com Services"), you will need to confirm the registration information (i.e. your first name and your email address or identification number etc) provided by your Subscriber Account Holder (as defined below). Upon confirmation of the same, you will be granted an account (hereinafter referred to as your "Account") and you will be able to access and use the services allocated to you by your Subscriber Account Holder.

You may elect to register as your Account, a subscriber account. Upon confirmation by HRMSHub.com, your account will be authorized to a subscriber account which will empower your Account to register additional Users (as defined below) (hereinafter you would be referred to as the "Subscriber Account Holder"). You agree that all terms and conditions governing accounts will continue to apply to you as a Subscriber Account Holder. Additional terms and conditions may apply to you specifically as a Subscriber Account Holder, as set out in the schedules to this Agreement.

You agree that you are solely responsible for maintaining the confidentiality of any information stored in your Account. You further agree that you will bear responsibility for all activities that occur on or through your Account and that you will prevent any third party from using your Account to access HRMSHub.com. You agree and acknowledge that you will bear full liability for any result, damages and/or losses arising from any such unauthorized access made from your Account.

In the event of a security breach, you agree that you shall immediately notify HRMSHub.com of any such breach of your Account. In such an event, HRMSHub.com may, in its sole discretion, suspend your Account indefinitely until such time HRMSHub.com is able to verify your identity and that any security breach has been duly remedied.

You agree to provide accurate and complete Registration Information (hereinafter referred to as "Registration Information") when you register with HRMSHub.com, and you agree to keep your Registration Information accurate and complete. You also agree that you will continue to update Registration Information to ensure that it continues to be accurate and complete.

USE OF SERVICE & RESTRICTIONS

This website may only be used for lawful purposes. Distribution of materials and/or transmission in violation of any local, state or federal or international laws, regulations and/or by-laws is prohibited. This includes, but is not limited to, copyrighted material, threatening or obscene material, material protected by trade secret, or any material HRMSHub.com in its sole discretion deems to be unsuitable or inappropriate.

HRMSHub.com does not provide any warranties nor accepts any liability related to the material, quality or accuracy of the information passing through its systems.

REQUIREMENTS FOR USE OF THE SERVICE

Use of HRMSHub.com requires compatible devices, Internet access, and certain software (fees may apply); which may require periodic updates; as such, HRMSHub.com may be affected by the performance of these factors. High-speed Internet access is strongly recommended.

SERVICE SECURITY

You agree not to access the HRMSHub.com Services by any means other than through the HRMSHub.com authorized website. You agree not to use modified versions of the website or software, for any purposes including obtaining unauthorized access to the HRMSHub.com Services. You agree not to violate, circumvent, reverse-engineer, decompile, disassemble, or otherwise tamper with any element of HRMSHub.com Services or to attempt or assist another person to do so. You shall not access or attempt to access an account that you are not authorized to access. Violations of system or network security may result in civil or criminal liability.

INTELLECTUAL PROPERTY

You agree that HRMSHub.com, graphics, user interface, audio clips, video clips, editorial content, and the scripts and software used to implement HRMSHub.com, contains proprietary information and material that is owned by HRMSHub.com and/or its licensors, and is protected by applicable intellectual property and other laws, including but not limited to copyright. The use of any part of HRMSHub.com except for use as permitted herein, is strictly prohibited and infringes on the intellectual property rights of others and may subject you to civil and criminal penalties, including possible monetary damages for copyright infringement. No portion of HRMSHub.com may be reproduced in any form or by any means, except as expressly permitted in this Agreement. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on HRMSHub.com in any manner, and you shall not exploit HRMSHub.com in any unauthorized way whatsoever, including, but not limited to burdening network capacity.

TAXES

In the event that any goods and services tax or any other taxes, levies or charges whatsoever now or hereafter is required by law to be paid on or in respect of any sums payable to HRMSHub.com or any other matters under or relating to this Agreement, the same shall (except to the extent prohibited by law) be borne by you and you shall indemnify HRMSHub.com (except to the extent prohibited by law) against such goods and service tax or other taxes, levies or charges and you shall from time to time on demand pay to HRMSHub.com any amount notified by HRMSHub.com to be necessary to indemnify HRMSHub.com less any such part thereof as has already been paid by you. For the avoidance of doubt, this will include all goods and services tax or other taxes, levies or charges of a similar nature in connection with all the costs, fees, expenses, disbursements or any other sums covenanted to be paid by you.

You are entirely responsible for any taxes to be paid on your usage of the HRMSHub.com Services. HRMSHub.com hereby disclaims any and all liabilities, penalties or actions that may arise from any failure to pay relevant taxes, levies or charges on your part.

WARRANTY DISCLAIMER

You acknowledge that your use of the HRMSHub.com Services is at your own risk and that to the fullest extent permitted by law, HRMSHub.com, its officers, directors, employees and agents disclaim all warranties, express or implied, in connection with the HRMSHub.com Services and your use thereof. The HRMSHub.com Services is provided on an "as-available" basis, and to the fullest extent permitted by law, we hereby exclude all and any warranties or conditions of any kind, whether express or implied, in respect of the HRMSHub.com Services and any material or data obtained or downloaded from it.

Without prejudice to the foregoing generality, HRMSHub.com makes no warranties or representations about the security, integrity, accuracy or completeness of any information that you transmit or receive, is on this sites content or the materials of any sites linked to this site. HRMSHub.com assumes no liability or responsibility for any: (1) errors, mistakes or inaccuracy of content; (2) personal injury or property damage of any nature howsoever arising resulting from your access and use of the HRMSHub.com Services; (3) unauthorized access to or use of our platform and/or any and all personal information and/or financial information stored therein; (4) interruptions or cessation of transmission to or from HRMSHub.com Services; and (5) bugs, viruses, Trojan horses or the like which may be transmitted to or through HRMSHub.com Services by any third party and/or any errors or omissions in any content posted, emailed, transmitted or otherwise made available by HRMSHub.com Services. HRMSHub.com does not warrant, endorse, guarantee or assume responsibility for any product or service advertised or offered by a third party through HRMSHub.com Services or any hyper-linked service. HRMSHub.com will not be party to or in any way responsible for monitoring any transaction between you and any third party providers of any products or service.

HRMSHub.com does not make any promises or warranties about HRMSHub.com Services and in particular does not warrant that:

(i) Your use of HRMSHub.com Services will be uninterrupted or error-free at all times or will meet your requirements. You agree that from time to time HRMSHub.com may remove the HRMSHub.com Services for indefinite periods of time, or cancel the HRMSHub.com Services at any time for technical or operational reasons and will, to the extent practicable, notify you of this; and

(ii) HRMSHub.com Services will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusion outside the reasonable control of HRMSHub.com.

HRMSHub.com hereby disclaims any and all liability to you for any loss or liability relating to, without limitation, such loss of information arising from interrupted HRMSHub.com Services, errors during usage of HRMSHub.com Services, a security breach, theft of information or any other way. HRMSHub.com also hereby disclaims any and all liability to you for any security breach, virus infection, and/or breakdowns of your computer system howsoever arising.

LIMITATION OF LIABILITY

HRMSHub.com will provide the HRMSHub.com Services with reasonable care and skill. HRMSHub.com shall also make reasonable efforts to protect information submitted by you in connection with the HRMSHub.com Services from fraudulent use, but you agree that your submission of any such information is done so at your sole risk.

You agree and acknowledge that you remain, at all times, solely responsible for ensuring that your computer systems have adequate protection against security breach attempts, viruses, hackers or any other methods used to compromise your computer systems.

Except in the event that you are exercising any applicable statutory right to refund or compensation, in no case shall HRMSHub.com, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any loss or damage caused by HRMSHub.com Services, its employees or agents where:

(i) There is no breach of a legal duty of care owed to you by HRMSHub.com or by any of our employees or agents;

(ii) It is not a reasonably foreseeable result of any such breach;

(iii) Any increase in loss or damage results from a breach by you of any term of this Agreement;

(iv) It results from a decision by HRMSHub.com to remove or refuse to process any information or content, to warn you, to suspend or terminate your access to HRMSHub.com Services, or to take any other action during the investigation of a suspected violation or as a result of HRMSHub.com's conclusion that a violation of these terms and conditions has occurred; and

(v) It relates to loss of income, business or profits, or any loss of data or corruption of data in connection with your use of HRMSHub.com Services. HRMSHub.com shall not be liable to you in contract, tort or otherwise arising in connection with this agreement for any economic losses (including, without limitation, loss of revenues, profits, contracts, business or anticipated savings), any loss of goodwill or reputation, any special, indirect or consequential losses or any destruction or loss of data.

To the fullest extent permitted by law, HRMSHub.com shall not be responsible for any losses or damages which you or any other person(s) may suffer or incur on the account of any malfunction, delay or refusal of HRMSHub.com to provide the HRMSHub.com Services and shall not be obliged to give any reason for such delay or refusal.

In the event that HRMSHub.com is found to have been in default of any term of the Agreement, you agree that you are entitled to recover only up to the amount that you have paid for that transaction resulting in the breach. You agree and acknowledge that HRMSHub.com shall not be responsible for any consequential or economic losses suffered by you as a result of any usage of HRMSHub.com Services.

COMPENSATION

Should you have a legitimate claim for reimbursement, HRMSHub.com will make all and necessary provisions for appropriate compensation which will exclude any costs incurred by HRMSHub.com in the conducting of business for each specified case, including but not limited to Administration fees, PayPal, credit card or any other banking fees and any and all legitimate third party expenses relating to the specified case.

INDEMNITY

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless HRMSHub.com, its parent company (adoddle Limited), officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, expenses, penalties, costs, claims or debt, legal or otherwise, arising from: (i) your use of and access to HRMSHub.com Services; (ii) your violation of any term of the Agreement; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim arising from and/or in connection to any of your content. This defense and indemnification obligation will survive the Agreement and your use of HRMSHub.com Services.

In the event that both your Account and your Subscriber Account Holder are found to have failed to comply with any of the provisions set out in this Agreement, you agree that you shall jointly and severally indemnify HRMSHub.com for any claims that may be made against HRMSHub.com as a result of your failure to comply with the provisions of this Agreement.

VARIATION OF TERMS

HRMSHub.com reserves the right to add, delete, vary, alter, replace or otherwise modify any of the terms and conditions of this Agreement and to impose new or additional terms and conditions on your use of HRMSHub.com Services at any time and from time to time as HRMSHub.com in its sole discretion deems necessary. Such modifications and additional terms and conditions will be communicated to you and, if accepted, will be effective immediately and will be incorporated into this Agreement. In the event that you refuse to accept such changes, HRMSHub.com will have the right to terminate your Account, and neither party shall have a claim against the other party whatsoever in such event. You agree that it shall be your responsibility to read and accept any new changes made by HRMSHub.com. Any use of HRMSHub.com after notification of any changes made to the terms and conditions of this Agreement shall be deemed as acceptance of the aforesaid changes.

DISCLOSURE OF INFORMATION

HRMSHub.com reserves the right to take steps HRMSHub.com believes are reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement. You agree that HRMSHub.com has the right, without liability to you, to disclose any Account information (i) to and between HRMSHub.com and our affiliates, parent company, subsidiaries representatives, officers, agents and any third party selected by us or any of them for confidential use (including in connection with the provision of any service and for data processing, statistical purpose or otherwise); (ii) to any law enforcement authorities, government officials, and/or any third party as required by any law, court, regulator or legal process; (iii) to a potential assignee or transferee or any other person proposing to enter into contractual arrangements with HRMSHub.com in relation to the Agreement; and (iv) to any party which HRMSHub.com believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of the Agreement.

NOTICES AND SERVICE OF PROCESS

You agree that HRMSHub.com may serve any notices or legal process on you by sending an electronic mail to your last known email address or a letter via postal mail to your Account mailing address. Such notice or legal process shall be deemed to have been served on the day they were sent by electronic mail. In instances of postal mail, such notices or legal process shall be deemed to have been served the next day for addresses within The United Kingdom and five (5) days from the date of posting where your last Account mailing address is an address outside of The United Kingdom. Such service of notice or legal process shall be deemed to be good and effective service of the said notice and/or legal process on you even if the notice or legal process is not received by you or if it should subsequently be returned undelivered. However, nothing herein shall preclude HRMSHub.com from serving process in any other manner permitted by law.

ARBITRATION

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in The United Kingdom in accordance with The United Kingdom Arbitration Act for the time being in force, which rules are deemed to be incorporated by reference in this clause. The Tribunal shall consist of three arbitrator(s) and the language of the arbitration shall be English.

JURISDICTION AND GOVERNING LAW

HRMSHub.com Services are operated by HRMSHub.com from its offices in The United Kingdom. You agree that the Agreement shall be governed by and construed in accordance with the laws of The United Kingdom and that you submit irrevocably to the jurisdiction of the court of The United Kingdom. You agree that the courts of The United Kingdom have exclusive jurisdiction to settle any dispute arising out of or in connection with the Agreement (including any disputes regarding the existence, validity or termination of this Agreement) (hereinafter referred to as a "Dispute").

You further agree that the courts of The United Kingdom are the most appropriate and convenient forum to settle any Disputes and accordingly you will not argue to the contrary. You acknowledge that this clause is for the benefit of HRMSHub.com only and as a result, HRMSHub.com is not precluded from taking proceedings relating to a Dispute against you in any other courts with jurisdiction. To the extent allowed by law, HRMSHub.com may take concurrent proceedings in any number of jurisdictions.

CONTENT AVAILABILITY

Notwithstanding any other provision of this Agreement, HRMSHub.com and its licensors reserve the right to change, suspend, remove, or disable access to any HRMSHub.com Services, Offerings, or other materials that are offered by HRMSHub.com without notice. HRMSHub.com may also impose limits on the use of or access to certain features or portions of HRMSHub.com, in any case and without notice or liability. In no event will HRMSHub.com be liable for making these changes.

From time to time, third party Offerings offered through HRMSHub.com Services may be deemed inappropriate or infringes international copyright law, in any such instance these Offerings will be suspended by HRMSHub.com and or its affiliates. Once suspended, access to these Offerings will no longer be possible regardless of purchase. You agree and confirm that in such event, HRMSHub.com will not have breached any terms of the Agreement in removing such Offerings and that you will only be entitled to a refund in accordance with the Refund Policy.

FAILURE TO COMPLY AND ACCOUNT TERMINATION

If you fail, or HRMSHub.com has grounds to believe that you have failed to comply with any of the provisions set out in this Agreement, HRMSHub.com at its sole discretion, without notice to you may: (i) terminate your Account, and you will remain liable for all amounts due under your Account up to and including the date of termination; and/or (ii) preclude access to HRMSHub.com (or any part thereof). HRMSHub.com may also make further claims against you for any losses, damages, claims, expenses, costs incurred or suffered as a result of your failure to comply with the terms set out in the Agreement.

If you breach the terms and conditions in this Agreement, you will be liable to HRMSHub.com, its directors, officers, employees, affiliates, agents, contractors, and licensors for any claim arising out of your breach. You will also be liable for any action taken by HRMSHub.com as part of its investigation of a suspected violation of the terms and conditions in this Agreement, or as a result of its findings or decision that a violation of the foregoing has occurred.

In the event that both your Account and your Subscriber Account Holder are found to have failed to comply with any of the provisions set out in this Agreement, you agree that you shall be jointly and severally liable for any of the above stated claims that may be made against you.

TERMINATION OF SERVICE

HRMSHub.com reserves the right to modify, suspend, or discontinue any content and or the scripts and software used to implement HRMSHub.com at any time and HRMSHub.com will not be liable to you or to any third party should it exercise such rights. To the extent possible by law, HRMSHub.com will warn you in advance of any modification, suspension or discontinuation of any part of its service.

REFUSAL OF SERVICE

HRMSHub.com reserves the right to refuse, cancel, or suspend service at our sole discretion.

SEVERABILITY

The illegality, invalidity and unenforceability of any provision of this Agreement under the law of any jurisdiction shall not affect its legality, validity or enforceability under the law of any other jurisdiction nor the legality, validity or enforceability of any other provision.

INDULGENCE NOT TO BE CONSTRUED AS A WAIVER

No failure or delay to exercise or enforce its rights, remedies and powers shall operate as a waiver. Unless expressly waived by HRMSHub.com in writing, no indulgence of any sort shall constitute a waiver by HRMSHub.com of any breach of the terms and conditions by you.

HRMSHub.com may from time to time and at any time waive either unconditionally or on such terms and conditions as it may deem fit any breach by you of any of the covenants, undertakings, stipulations, terms and conditions herein contained and any modification thereof but without prejudice to its powers rights and remedies for enforcement thereof, provided always that:

(a) no neglect or forbearance of HRMSHub.com to require and enforce the performance and observance of any covenants, undertakings, stipulations, terms and conditions herein contained, nor any time which may be given to you shall in any way prejudice or affect any of the rights, powers or remedies of HRMSHub.com at any time afterwards to act strictly in accordance with the provisions hereof;

(b) no such waiver of any such breach as aforesaid shall prejudice the rights of HRMSHub.com in respect of any other or subsequent breach of any of the covenants, undertakings, stipulations, terms or conditions aforesaid.

FORCE MAJUERE

HRMSHub.com shall not be liable for failure to perform its obligations if such failure is as a result of Acts of God (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalisation, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity or telephone service, and any other scenarios beyond the reasonable control of HRMSHub.com.

In such event, the Agreement between you and HRMSHub.com shall terminate with neither party having any claim against the other and you agree and confirm that you waive any and all actions accrued against HRMSHub.com on the occurrence of any of the above mentioned event.

ASSIGNMENT OF RIGHTS

HRMSHub.com may assign all or part of its benefit and rights and/or its obligations under this Agreement without your consent or notice. Any such assignment shall bind you as if the assignee were an original party hereto in respect of the benefit and rights and/or obligations assigned to that assignee and all references herein to HRMSHub.com shall include any such assignee as aforesaid.

You shall have no right to assign or transfer any of its rights and/or obligations hereunder without the prior written consent of HRMSHub.com and you shall remain fully liable for all of its undertakings, agreements, duties, liabilities and obligations hereunder, and for the due and punctual observance and performance hereof.

RIGHTS OF THIRD PARTIES

Unless expressly provided to the contrary in this Agreement, the parties to this Agreement do not intend that any term of this Agreement shall be enforceable solely under or by virtue of The Contracts (Rights of Third Parties) Act (Cap. 53B) by any person who is not a party to this Agreement.

HEADERS FOR CONVENIENCE

The headings to the clauses hereof are inserted for convenience only and shall not be deemed to be a part thereof or taken into consideration in the interpretation or construction thereof of this Agreement.

COMPLETE AGREEMENT

This Agreement constitutes the entire agreement of the parties and supersedes all prior communications, understandings and agreements relating to the subject matter hereof, whether oral or written.

MISCELLANEOUS

Words importing the singular meaning shall where the context so admit include plural meaning and vice versa; words importing the masculine gender shall where the context so admit include all genders.

IMPORTANT SAFETY INFORMATION

To avoid muscle, joint, or eye strain during your use of HRMSHub.com Services, you should always take frequent breaks, and take a longer rest if you experience any soreness, fatigue, or discomfort.

A very small percentage of people may experience seizures or blackouts when exposed to flashing lights or patterns, including but not limited to while watching videos. Symptoms may include dizziness, nausea, involuntary movements, loss of awareness, altered vision, tingling, numbness, or other discomforts.

You agree that HRMSHub.com, its directors, officers, employees, affiliates, agents, contractors, or licensors not be liable for any damages resulting from the use of any HRMSHub.com Services including but not limited to any medical payments, and that you agree to consult a doctor or arrange for your Users to consult a doctor before using any HRMSHub.com Services if you or they have ever suffered these or similar symptoms, and stop using HRMSHub.com Services immediately and consult medical advice if they occur during your use of such HRMSHub.com Services.

Any non critical information, such as informative newsletters, special offers or exclusive discounts on goods or services, that the Subscriber may receive from ADODDLE LIMITED will not be sent to anyone other than the Subscriber, unless either specific permission from the Subscriber is given, or any such information is forward by the Subscriber themselves.

We also use personal information to help us develop, deliver, and improve our products and content. We may also use personal information for internal purposes such as auditing, data analysis and research to improve HRMSHub.com services, and customer communications.

Collection and use of non personal information

We also collect non-personal information i.e. data in a form that does not permit direct association with any specific individual. We may collect, use, transfer and disclose non-personal information for any purpose. The following are some examples of non-personal information that we collect and how we may use it:

1. We may collect information such as occupation, zip code, area code, unique device identifier, location, and the time zone where an ADODDLE LIMITED product is used so that we can better understand customer behaviour and improve our services.

2. We also may collect information regarding customer activities on our website, HRMSHub.com Marketplace and from our other products and services. This information is aggregated and used to help us provide more useful information to our customers and to understand which parts of our website, products, and services are of most interest. Aggregated data is considered non-personal information for the purposes of this Privacy Policy.

3. If we do combine non-personal information with personal information the combined information will be treated as personal information for as long as it remains combined.

ADDITIONAL SUBSCRIBER ACCOUNT TERMS AND CONDITIONS

ABILITY TO CONTRACT

Your use of the HRMSHub.com Service includes the ability to enter into agreements and/or to make transactions on behalf of yourself, your company, organization or entity (as applicable) electronically. You warrant that you have the necessary authority, power and/or approvals required to create an account, use the same and comply with your obligations under the Agreement. You further acknowledge that all actions, conditions and things required to be taken, fulfilled and done (including the obtaining of any necessary consents) in order (i) to enable you to lawfully enter into, exercise your rights and perform and comply with your obligations under the Agreement and (ii) to ensure that those obligations are legally binding and enforceable have been taken, fulfilled and done and that your obligations under this Agreement are valid, binding and enforceable in accordance with their respective terms.

You acknowledge that your electronic submissions constitute your agreement and intent to be bound by and to pay for such agreements and transactions. Your agreement and intent to be bound by electronic submissions applies to all records relating to all transactions you enter into on this site, including notices of cancellation, policies, contracts, and applications. In order to access and retain your electronic records, you may be required to have certain hardware and software, which are your sole responsibility.

YOUR SUBSCRIBER ACCOUNT

Access to HRMSHub.com as a Subscriber Account, is granted on a license basis (hereinafter referred to as your "Subscriber Account"). To become a Subscriber Account Holder and utilise HRMSHub.com Services, you will need to register at least 1 individual (hereinafter referred to as a "User"). You will be required to provide us with the User's first name and a unique email address or username. Upon registration of at least one User, you will be confirmed as a Subscriber Account Holder and you will be able to administer your Subscriber Account including the ability to administer classroom and external E-learning sessions to each registered User. In addition, you will be able to securely distribute any E-learning content stored in your "Universal Folder" (10MB*) or any "Additional Content Folders", subject to the terms and conditions of this Agreement, to any of your registered User. You will also be able to administer the Leave Management Module, The expenses Module and the Performance Management Module, complete with the Appraisal function.

USER RECORDS

HRMSHub.com, as part of the services provided, maintains individual records for all registered Users. Such records will be available through the system for your administrative purposes for the time period that the said User is actively registered on the system. In the event that the User is deleted from the system , the said User's training records may be kept by HRMSHub.com for a period of two weeks and may be retrievable however HRMSHub.com may delete the training records of the User immediately after they have been deleted from the system, and you will no longer be able to access any past training records of the said User.

UNIVERSAL AND ADDITIONAL CONTENT FOLDERS

As a Subscriber Account you will receive 10MB of secured storage capacity which will enable you to store and deliver any suitable content that you upload (hereinafter referred to as "Secured Delivery Capability") in the form of a Universal Folder, of which the content may be distributed to any registered User. Should you wish to increase your Secured Delivery Capability, you can do so by purchasing Additional Content Folders. Additional Content Folders are costed per folder size and per User access; therefore User access may be restricted. You are entitled to upload any appropriate proprietary content which you have the rights to distribute to your Universal Folder or any Additional Content Folders. The content stored in your Universal Folder or Additional Content Folders may be distributed only in compliance with the terms included in this Agreement.

As a Subscriber Account you affirm that you are wholly responsible for the content you distribute to your User(s) via HRMSHub.com Services and it is wholly your responsibility to ensure that you are familiar with all relevant and prevailing laws and regulations governing the use of any content which you wish to distribute, particularly those relating to intellectual property rights. You also affirm that you are and have the necessary licenses, rights, consents, and permissions to distribute any content you use, whether it be owned by you, the company, the organisation you are representing or any third party. HRMSHub.com reserves the right to request from you any documentary evidence necessary to confirm that you possess the requisite licenses, rights, consents, and permissions relating to the content you distribute. In addition you confirm that any content you use will:

1. Adhere to international standards of fair use.

2. Be fair, decent, honest and truthful.

3. Not be pornographic, racist, sexist, ageist or abusive or be reasonably deemed as offensive or which could be deemed as inciting violence.

4. Not attack or demean a group based on race or ethnic origin, religion, disability, gender, age, veteran status, and or sexual orientation/gender identity.

UNIVERSAL FOLDER AND RENEWAL

You will be able to add content to your Universal Folder throughout the calendar year until you have reached the 10MB limit. Once your content has been uploaded to your Universal Folder, you will not be able to remove that content or reutilise the storage space that any such content takes.

ADDITIONAL CONTENT FOLDERS

Should you wish to increase your Secured Delivery Capability, you can do so by purchasing an Additional Content Folder. You can choose between 1GB, 2GB, 5GB, 10GB and 20GB folders. When creating an Additional Content Folder you can limit the number of registered Users who have access to it, therefore helping to reduce costs. An administration fee of $10 will be added to every purchase of any Additional Content Folder and although the system will make all necessary calculations for you, you can calculate the additional investment you would need to make by using the following formula:

Illustration A:

Edutech wishes to create an Additional Content Folder of 1GB exclusively for its sales staff (35 Users out of its 50 Users). The cost of the said Additional Content Folder will be as follows:

ADDITIONAL CONTENT FOLDER VALIDITY AND RENEWAL

All Additional Content Folders will be valid for 12 calendar months from the date of their creation and will only be accessible if you have a valid Subscriber Account with HRMSHub.com. You will be able to add content to your Additional Content Folder throughout the calendar year until you have reached the Additional Content Folder limit. Once your content has been uploaded to your Additional Content Folder, you will not be able to remove that content or reutilise the storage space that any such content takes, until you renew your Additional Content Folder.

Should you wish to renew an Additional Content Folder you can do so at any point up to one month before your Additional Content Folder is due to expire and up to two weeks after your Additional Content Folder has expired ("Additional Content Folder Renewal Grace Period"). You will not be able to access your Additional Content Folder within this two week Additional Content Folder Renewal Grace Period unless you renew your Additional Content Folder. You will be automatically sent an email to this effect one month before your Additional Content Folder is due to expire, then should no action be taken by you, you will be sent additional emails one week before expiry, on the day of expiry itself and two days before the end of the Additional Content Folder Renewal Grace Period.

Should you renew your Additional Content Folder within the month prior to your expiry date, your Additional Content Folder will automatically take effect one calendar year from the date of creation or the last renewal date whichever is the most recent.

Should your Additional Content Folder expiry date lapse and you subsequently wish to renew your Additional Content Folder within the two week Additional Content Folder Renewal Grace Period, your Additional Content Folder will be deemed as starting on the day of this renewal.

Upon renewal of the Additional Content Folder, you will have the option of deleting or transferring any stored content to any other active folder on the day your Subscriber Account is renewed, should there be sufficient space. Should you choose to renew the Additional Content Folder, you will be charged at the prevailing rate together with any relevant administrative fees.

Warning

Should you choose not to renew any Additional Content Folders and do not transfer your content during the 2 week Additional Content Folder Renewal Grace Period, you shall be deemed to have consented to deletion of your content once the Additional Content Folder Renewal Grace Period has expired. Once deleted HRMSHub.com may not be able to recover this content and will not be responsible for any loss, damages or injury arising from such a loss. It is strongly recommended that you keep copies of any and all content uploaded to HRMSHub.com.

RESTRICTION OF CONTENT DELIVERY

Due to inherent Content Delivery Capability costs, you will be restricted in terms of how many times you may distribute the same content to the same registered User for all content stored in your Universal Folder and any "Additional Content Folders" you may purchase. You will be restricted with regard to the delivery of the SAME content to the SAME registered User up to a maximum of three (3) times. To clarify, that means that each registered User can access all of the content in any of your folders no more than three (3) times over the course of each calendar year. Should your User need to access the same content for a fourth time or more, you can buy Additional Content Folders and reproduce this content for them to view.

PAYMENT TERMS

All HRMSHub.com Services utilise the PayPal payment gateway and will accept payments through this service subject to PayPal terms and conditions. Although a pro-forma invoice may be provided for HRMSHub.com Services, no such facilities will be provided for any Marketplace Service functions.

All payments must be made in full before access to any Marketplace Service Offering (as defined below) is granted.

Your total price will include the price of the Offering (as defined below) plus any administration fees and or applicable goods and services taxes (GST) (if any) in effect on the day of download.

ADMINISTRATIVE FEES

An administrative fee of $10 will be charged for every purchase of an Additional Content Folder. 
An administration fee of $1 will be charged for every purchase of any Marketplace Offerings.

These charges are independent of and separate to the purchase price and will be added in addition to the price of any purchases that you make. HRMSHub.com expressly reserves the right to review the administrative fees charged from time to time and you will be notified of any variation to the administrative fees charged. You also agree that all administrative fees charged are final and non-refundable.

REFUND POLICY

You have the right to withdraw from any transaction without giving any reason, within the period of one (1) week after the order is placed and will be eligible for a refund for all purchases of credits and "Skills Needs Analysis" (SNA) questionnaires, courses or packages of both aforementioned, (separately and collectively referred to as the "Offerings"), unless:

You have created a session, instructed the system to distribute any Marketplace Service Offerings to any registered User and the said User has followed the process to complete the Offering. In this instance the Marketplace Service Offerings shall be deemed to have been completed (hereinafter referred to as "Completed"), you will only be entitled to a refund for any Offerings purchased that are not yet Completed. To clarify, any purchases of any Offerings will be deemed final once the Offerings have been deemed to have been Completed.

Any refunds offered will be for the price at which the Offering was purchased less any costs incurred by HRMSHub.com in processing the said refund which may include but no be limited to administrative fees, PayPal, credit card or any other banking fees and any and all third party expenses relating to the specified case.

You are required to submit any requests for withdrawal for all HRMSHub.com Services and Marketplace Service Offerings in writing, at info@HRMSHub.com.

You affirm that should you not withdraw your transaction within the period of one (1) week from the date of purchase, then all such purchases under the said transaction will be deemed to be final and will not be entitled to any refunds. Notwithstanding the above, HRMSHub.com reserves the right to decline any requests for refunds at its sole discretion.

PREVIOUS PURCHASES

We do not guarantee that any purchased Offerings will be available for subsequent purchase. HRMSHub.com shall have no liability to you for any Offerings that are subsequently unavailable for purchase.

RIGHTS CONFERRED

Purchase of any Offerings does not transfer to you any proprietary, commercial or promotional rights, but instead confers on your Subscriber Account a limited license to view or to allow a registered User under your Subscriber Account to view the said Offering for training or educational purposes.

SCHEDULE 3
SUBSCRIBER MARKETPLACE SERVICE TERMS AND CONDITIONS

HRMSHUB.COM IS THE PROVIDER OF THE MARKETPLACE SERVICE WHICH PERMITS YOU TO PURCHASE BOTH ADODDLE LIMITED AND THIRD PARTY OFFERINGS FOR YOUR PERSONAL OR ORGANISATIONAL USE IN ACCORDANCE WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU SHALL BE DEEMED TO HAVE READ AND AGREED TO THE TERMS AND CONDITIONS CONTAINED IN THIS SCHEDULE UPON ANY USE OF THE MARKETPLACE.

HRMSHUB.COM MARKETPLACE SERVICE

Only you (the Subscriber Account Holder) may have access to the Marketplace Service, and you agree that you are solely responsible to ensure that there is no unauthorised use of your Subscriber Account to purchase any Offerings from the Marketplace.

You agree and acknowledge that you will make all relevant payments before any Offering is delivered to you. This includes without limitation the purchase price of the Offering, administrative fees, merchant fees, taxes, levies surcharges and/or other fees that may be levied from time to time.

You further agree and acknowledge that in the event of an unauthorised use of your Subscriber Account, there will be no refund of any purchases in the Marketplace if the purchase has been deemed final pursuant to the terms and conditions of this Agreement.

RESALE

Resale of any of Offerings provided in the Marketplace Service, in part or whole (including any and all derivative works) is strictly forbidden.

THIRD-PARTY MATERIALS

You understand and acknowledge that although we provide a Marketplace Service offering the purchase of Offerings, the said Offerings on the Marketplace Service are owned by the relevant third-parties. We do not make any warranties whatsoever to the appropriateness, accuracy or quality of any Offerings and we will not be liable for any Offerings purchased from the Marketplace Service.

You further agree that you will not use any third-party materials in a manner that would infringe or violate the rights of any other party and that HRMSHub.com is not in any way responsible for any such use by you.

OBJECTIONABLE MATERIAL

You understand that although HRMSHub.com strives to ensure that all Marketplace Service Offerings are of an acceptable nature, by using the Marketplace Service, you may encounter material that you may deem to be offensive, indecent, or objectionable, and that material may or may not be identified as such. Nevertheless, you agree to use the Marketplace Service at your sole risk and HRMSHub.com shall have no liability to you for any material that may be found to be offensive, indecent, or objectionable. Descriptions are provided for convenience, and you agree that HRMSHub.com does not guarantee their accuracy. In the event of identifying offensive, indecent, or objectionable material, you may inform us directly or use the flag facility and should HRMSHub.com agree with your objection, then HRMSHub.com will take appropriate action.

LIABILITY

You agree that if you or any Users registered under your Subscriber Account use any third party material or any Offerings in a manner that violates the terms and conditions in this Agreement or the rights of any other party, you shall be fully responsible and liable for such violation and will fully indemnify HRMSHub.com for any loss or damage howsoever incurred/suffered by HRMSHub.com and its affiliates as a result of the said violation.

CONTENT WARNING

Once you have distributed any pre-paid Marketplace Service Offerings to any registered Users and they have accessed all of the content available to them and or proceeded to the end of the Offering, the Offering will be deemed as Completed. Once activated, the Offerings are designed to run in their entirety. Should the User close the browser at any time during the duration of any Offerings, including whilst watching videos, reading Word or PDF Documents or viewing PowerPoint Slides or HTML5 content or before the post course quiz etc, the Offerings will restart from the last completed section of the course (i.e. once a video has been watched in its entirety or a document accessed and or the viewer has clicked proceed). Should you wish to restart or rerun any Offerings, you may need to purchase additional Offerings or utilise additional credits. A warning to this effect may be given at the start of all Offerings.

CANCELLATION POLICY

You will not have the right to cancel your transaction once the Offerings have been Completed unless you have received unacceptably poor quality Offerings (this relates to viewability, sound and document delivery NOT appropriateness or usefulness of the Offerings). In such instances, you must notify us by emailing info@HRMSHub.com. If we determine that the alleged poor Offerings are caused by HRMSHub.com and cannot be resolved, we may opt to provide a refund in accordance with the Refund Policy in lieu of the purchased Offering.

Should you wish to withdraw from a transaction where the Offerings have not been Completed and require a refund for any Offerings that have not yet been Completed, you may do so in accordance with the Refund Policy.

REMOVAL OF CONTENT

Should HRMSHub.com suspend or remove any Offerings for any reason whatsoever including but not limited to copyright infringements, objectionable or otherwise inappropriate material, access to any affected Offerings will no longer be possible regardless of purchase. In any such event, we will not be liable to you for any damage or loss suffered arising from such removal of Offerings. However, HRMSHub.com will endeavour to inform each relevant party and make all and necessary provisions for a remedy or refund in accordance with the Refund Policy.

If any HRMSHub.com Services or Offerings becomes unavailable following a transaction due to technical issues or should the HRMSHub.com Services or Offerings be suspended due to Copyright or any other issue, and should the HRMSHub.com Services or Offerings be no longer available, your sole remedy shall be limited to a refund on all HRMSHub.com Services or Offerings purchased pursuant to the Refund Policy and your claim against us shall be limited to the price at which you purchased the Offering for. You will be notified by HRMSHub.com in any such circumstance.

PRICING

Until a purchase is made, HRMSHub.com reserves the right to change prices for any Offerings offered via the Marketplace Service at any time, and HRMSHub.com does not provide price protection or refunds in the event of a price reduction or promotion subsequent to purchase.

DISCLAIMER OF WARRANTY

You agree and understand that the disclaimers made by us in the Agreement shall bind your use of all HRMSHub.com products and Marketplace Service. You expressly understand and agree that your use of HRMSHub.com and any products downloaded or obtained through HRMSHub.com is at your sole risk and that HRMSHub.com is provided "as is" and "as available" without warranty of any kind, to the maximum extent permitted by applicable law. You are also solely responsible for any damage to your computer system, mobile device, or other device, or loss of data that results from such use.

To the maximum extent permitted by applicable law, HRMSHub.com further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement, with respect to any products downloaded or otherwise obtained through HRMSHub.com as well as HRMSHub.com itself.

SEVERABILITY

If any terms or provisions in this Schedule is found to be unenforceable for any reason, the remaining part of this Schedule shall remain in full force and effect and shall be fully enforceable on its remaining terms and conditions.

SCHEDULE 4
COMMERCIAL DEVELOPER TERMS AND CONDITIONS

THESE ADDITIONAL CLAUSES, TOGETHER WITH THE REST OF THE AGREEMENT SHALL APPLY IF YOU ARE APPLYING FOR AND/OR HAVE OBTAINED A COMMERCIAL DEVELOPER ACCOUNT WITH HRMSHUB.COM. YOU ARE SOLELY RESPONSIBLE FOR THE SECURITY OF YOUR ACCOUNT AND THAT YOU ARE IN COMPLIANCE WITH THE TERMS AND CONDITIONS OF THE AGREEMENT. FAILURE TO DO SO MAY RESULT IN YOUR ACCOUNT BEING TERMINATED WITHOUT NOTICE.

ELECTRONIC CONTRACTING

Your use of the HRMSHub.com Services includes the ability to enter into agreements and/or to make transactions electronically. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by and to comply with the terms of the Agreement. Your agreement and intent to be bound by electronic submissions applies to all elements relating to all HRMSHub.com Services transactions you enter into, including without limitation purchases, payments, notices of cancellation, any agreement, these terms and conditions, contracts and applications.

BACKGROUND CHECKS

By agreeing to the Commercial Developer Terms and Conditions you are agreeing to allow an HRMSHub.com representative to undertake a number of background checks on you to establish your credentials including but not limited to internet searches, telephone references, written requests for references and to gain any access to publicly available governmental records pertaining to you. HRMSHub.com reserves the right to refuse any and all applications at its sole discretion without contest or explanation.

Once HRMSHub.com has conducted their background checks and accepts your registration, you will be registered as a commercial developer account (your "Commercial Developer Account")

YOUR CONTENT AND CONDUCT

As an HRMSHub.com Commercial Developer Account holder, you may submit "Skills Needs Analysis" (SNA) questionnaires, Courses or packages of both aforementioned, hereinafter referred to as "Offerings", to the Marketplace Service. You understand that HRMSHub.com does not guarantee any confidentiality with respect to any Offerings you submit.

You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to distribute and/or sublicense for commercial gain, any materials contained in the Offerings you submit; and you license to HRMSHub.com all patent, trademark, trade secret, Copyright or other proprietary rights whether it be owned by you or the company or organisation you are representing or any third party in and to such Offerings for distribution through the Marketplace Service. You shall be solely responsible for any and all consequences of submitting and distributing your Offerings to the Marketplace Service.

You also affirm it is wholly your responsibility to ensure that you are familiar with all prevailing legislation, rules, regulations, by-laws, codes and/or any other applicable guidelines concerning intellectual property protection and in particular copyright and fair use. You warrant for HRMSHub.com's benefit that all Offerings submitted by you do not violate any such legislation, rules, regulations, by-laws, code and/or any other applicable guidelines.

HRMSHub.com reserves the right to request from you written proof confirming that you have the necessary licenses, rights, consents, and permissions. In addition you confirm that any Offerings you upload will:

1. Adhere to international standards of fair use.

2. Be fair, decent, honest and truthful.

3. Not be pornographic, racist, sexist, ageist or abusive or be reasonably deemed as offensive or which could be deemed as inciting violence.

4. Not attack or demean a group based on race or ethnic origin, religion, disability, gender, age, veteran status, and or sexual orientation/gender identity.

Should any Offerings be indiscernible then HRMSHub.com may seek clarification as to the content and its purpose.

For clarity, you retain all of your ownership rights for your Offering. However by submitting Offerings to HRMSHub.com you hereby grant HRMSHub.com a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to distribute your Offerings through the Marketplace Service. You also hereby grant each registered user of HRMSHub.com a non-exclusive license to access your Offerings through the Marketplace Service and to use such Offerings as permitted pursuant to this Agreement.

The above licenses granted by you with regards to Offerings you submit to the Marketplace Service terminate within a commercially reasonable time after you remove or delete your Offerings from the Marketplace Service. You understand and agree that HRMSHub.com may continue to retain server copies of your Offerings that have been removed or deleted for a reasonable period of time.

You agree and explicitly warrant that any Offerings you submit to the Marketplace Service will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have the necessary licenses, rights, consents, and permissions or you are otherwise legally entitled to post the material and to grant HRMSHub.com all of the license rights granted herein.

You further agree that you will not submit to the Marketplace Service any Offerings or other material that is contrary to the terms of this Agreement which may be updated from time to time, or contrary to applicable local, national, and international laws and regulations.

OFFERINGS APPROVAL

HRMSHub.com has the right, but not the obligation, to monitor any Offerings or materials submitted by you or otherwise available on the Marketplace Service, or to investigate any reported or apparent violation of these terms and conditions. Approval for distribution of Offerings will only be granted by an HRMSHub.com employee or its successors and affiliates, should the Offerings comply with the HRMSHub.com terms and conditions.

HRMSHub.com reserves the right to disapprove any Offerings without the requirement to offer any reason.

OFFERINGS PRICING

As a Commercial Developer you will be empowered to state your own rate in US dollars, for any Offerings you create and upload to the Marketplace Service, subject to a minimum rate of $2 per Offering. The rate you allocate to your Offerings will be shown in the Marketplace Service and excludes any administration fees, applicable taxes or any legitimate third party expenses accrued in the delivery of any such Offerings including but not limited to excessive bandwidth charges (hereinafter referred to as "Offerings Rate").

PAYMENT FOR OFFERINGS

Payments will only be made through the PayPal payment service, therefore you must ensure you have a valid PayPal account and provide HRMSHub.com accurate PayPal payment details upon registration. You are solely responsible for ensuring that the information you provide is accurate and in the event that you provide incorrect information and payments due to you are made to a third party, you irrevocably waive any and all claims against HRMSHub.com for the sums paid out.

Once a Subscriber has purchased any Offerings from the Marketplace Service, created a session and instructed the system to distribute any Marketplace Service Offerings to any registered Users and the said User has followed the process to complete the Offering. In this instance the Marketplace Service Offerings shall be deemed to have been completed (hereinafter referred to as "Completed").

For any of your Offerings which are purchased and subsequently Completed by any registered User, you will receive 70% of the Offerings Rate at the end of the subsequent month following the date that Offering was Completed unless:

1. A Subscriber Account Holder either withdraws from his purchase in accordance with the Agreement or is otherwise eligible for a refund under the terms and conditions of the Agreement in which case you agree that no payments will be made to you for any such affected Offerings and you irrevocably waive any action you may have against HRMSHub.com for any of your losses whatsoever including but not limited to loss of earnings and/or loss of reputation. 2. Your Offering is suspended either due to being flagged or found to be inappropriate for any other reason. In such a case, any payments due to you will be withheld by HRMSHub.com pending a review of the Offering. If the Offering is found to be acceptable and not in violation of any terms of the Agreement, the Offering will be reinstated to the Marketplace and any amounts withheld will be released to you. However, if the Offering is found to be unsuitable, inappropriate and/or in violation with the terms of the Agreement, the Offering will be removed and you will not be entitled to any sums withheld by HRMSHub.com in relation to the offending Offering.

FLAGGED OFFERINGS AND SUSPENSION AND/OR REMOVAL OF OFFERINGS

Should any of your Offerings be deemed inappropriate or contain any content which infringes Copyright or any other appropriate law, it may be flagged by any user of the system with access to said Offerings. Any Offerings flagged as inappropriate will be reviewed and the said Offerings may be suspended and/or be subjected to restricted access during the review. Should HRMSHub.com concur that the Offerings are inappropriate for whatever reason, a notification will be sent to you for offending Offerings, whereupon the Offerings will be removed and the Commercial Developers' Account suspended indefinitely. All other Offerings provided by you will also be reviewed and may or may not be suspended accordingly. We appreciate that mistakes can be made and work tampered with, therefore should such an infringement take place, you will have one calendar month to appeal your suspension from the system. Any appeal should be made in writing to info@HRMSHub.com. HRMSHub, its successor or affiliates shall have the final say in determining whether your Offering is acceptable and appropriate to upload to the Marketplace and their decision is final and without cause for objection.

HRMSHub.com expressly reserves the right to suspend, review and/or remove any Offerings without prior notice to you, particularly if it has been determined that your Offering contains copyright infringement, pornography, obscenity of any sort, excessive file size or is in any other inappropriate or unsuitable to be offered on the HRMSHub.com Marketplace. You also agree that you will accept any decision made by HRMSHub.com as final and that you will accept full responsibility and liability, civil or otherwise, for any Offering that had been deemed to be unsuitable, inappropriate or otherwise in violation of the terms of this Agreement. You further agree that you will fully indemnify and hold harmless HRMSHub.com against all losses, damages, claims, costs, and/or expenses resulting from the upload of such Offerings from you.

ACCOUNT TERMINATION

HRMSHub.com reserves the right to terminate your Commercial Developer Account without notice, as we determine to be necessary, expedient or in our interests. Upon termination, you will no longer have access to the HRMSHub.com system and we will delete any and all of your Offerings within a reasonable amount of time.

HRMSHub.com reserves the right to decide whether any Offerings violate the terms and conditions in this Agreement for reasons including but not limited to Copyright infringement, pornography, obscenity, or excessive file size. HRMSHub.com may at any time, without prior notice and at its sole discretion, remove such Offerings and/or terminate a Commercial Developer Account for submitting such material.

TAXATION

HRMSHub.com will levy all appropriate goods and service tax to all Subscribers who purchase any Offerings under license from you, under the jurisdiction of The United Kingdom and in compliance with appropriate United Kingdom Law. However, you understand and affirm that you are solely responsible for paying all relevant income, corporate and other taxes that relate to your business in your own tax jurisdiction. HRMSHub.com accepts no responsibility in this regard.

INDEMNITY

You warrant and affirm to indemnify and save harmless HRMSHub.com for any losses whatsoever you may incur from utilising any HRMSHub.com Services as a commercial developer including but not limited to loss of earnings, loss of reputation, adverse claims and/or any other economic or civil liability. You also agree to waive any and all claims you may have against HRMSHub.com for your usage of HRMSHub.com Services.

You further agree to indemnify HRMSHub.com against any and all claims, damages, obligations, losses, liabilities, expenses, penalties, costs, claims or debt, legal or otherwise, arising from any claims made against HRMSHub.com as a result of any Offerings uploaded by you.

SEVERABILITY

If any terms or provisions in this Schedule is found to be unenforceable for any reason, the remaining part of this Schedule shall remain in full force and effect and shall be fully enforceable on its remaining terms and conditions.
